The Site offers digital greeting cards (the “E-Cards”), print cards, and electronic gift cards (the “E-Gift Cards”) and other products and services that may be made available from time to time to foster connections between babies and families (collectively, the “Products”). The materials and related links posted on the Site are provided for general informational purposes only and are intended for those over 18 years of age, residing in the United States. Our Site and Products are offered to you (“You”), conditioned on Your acceptance of the terms contained herein (“Terms”). Do not use the Site or purchase Products if You do not agree to these Terms. BY ACCESSING OR USING THE SITE, REGISTERING AN ACCOUNT, OR PURCHASING ANY PRODUCTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

These Terms can change from time to time by posting the changes on our Site and Your use of this Site after posting any changes to these Terms constitutes Your agreement to those changes. These Terms and any other legal terms found elsewhere on this Site are the entire agreement between You and Mum Mum Cards with respect to Your use of the Site and purchase of the Products and are hereby incorporated into these Terms by reference. These Terms and other legal terms on our Site supersede any and all other understandings or agreements, written or oral, regarding Your use of the Site and purchase of the Products. To the extent there is a conflict between the terms and any incorporated terms, the Terms shall control. You agree to review these Terms periodically to ensure You are familiar with the most recent version of the Terms.

ACCOUNT

Portions of this Site might require a username and password. You may not give access to Your account or disclose Your password to others. You are responsible for keeping all account information confidential and secure. To the fullest extent allowed by law, You are responsible for all activities under Your account including all legal liability from the use of Your account by You or others. Any personal information submitted to Mum Mum Cards is governed by our Privacy Policy. You must immediately notify Mum Mum Cards of any unauthorized access or tampering with Your account or suspected breach of security. You further understand and agree that You have no ownership rights in any account You might have with us.

PURCHASE AND DELIVERY TO RECIPIENTS

Products may be selected and purchased through the Site. You may customize certain Products by adding the recipient’s name to the envelope and Your name inside the card. Once You have completed and paid for Your order, Mum Mum Cards will generate the Products You have selected and either: (i) for digital Products, deliver such Products electronically via email or SMS to the recipient(s) designated by You, either promptly after purchase or on a future delivery date selected by You; or (ii) for physical Products, process and ship such Products to the delivery address provided at checkout within the estimated shipping timeframe displayed at the time of purchase. You acknowledge that all delivery and shipping timeframes are estimates only and are not guaranteed. Mum Mum Cards does not guarantee delivery times and shall not be responsible for (a) delays caused by third-party carriers, email providers, telecommunications providers, or other third-party services, (b) incorrect delivery information provided by You, or (c) a recipient’s failure to open, access, download, or redeem any Product.

You represent and warrant that You have obtained any necessary permissions or consents from the recipient before providing their contact information or sending them any Product, including any email or SMS message delivered through the Site. You agree that Mum Mum Cards acts solely as a transmission and delivery service for messages initiated by You and does not control the content of such communications. You are solely responsible for ensuring that Your use of the Site and Products comply with all applicable laws relating to electronic communications, including laws governing unsolicited messages. You may not use the Site or the Products to impersonate any person or entity, misrepresent Your identity or affiliation, or send messages that are abusive, fraudulent, deceptive, threatening, harassing, defamatory, or otherwise intended to harm, intimidate, or harass any recipient. Mum Mum Cards reserves the right, in its sole discretion, to refuse, block, or cancel any order or transmission that it believes violates these Terms, may cause harm to a recipient or the Site, or for any reason in its sole discretion.

You are solely responsible for ensuring the accuracy of all recipient contact information and delivery details provided at checkout. Mum Mum Cards is not responsible for Products delivered to incorrect, incomplete, or mistyped email addresses, phone numbers, or physical addresses provided by You and has no obligation to resend, replace, or refund Products in such circumstances. If You believe a Product was sent to an incorrect email address or phone number, You may contact Mum Mum Cards at admin@mummumcards.com. Mum Mum Cards may, in its sole discretion, attempt to assist, but makes no guarantee of recovery, redelivery, or replacement.

SHIPPING AND PHYSICAL DAMAGE

Risk of loss and title for physical Products pass to You upon transfer to the carrier. Mum Mum Cards is not responsible for delays, loss, or damage occurring during shipment. If a physical Product arrives visibly damaged, You must notify Mum Mum Cards within ten (10) days of delivery and provide reasonable documentation, including photographs. Upon review, Mum Mum Cards may, in its sole discretion, offer a replacement or store credit, subject to availability and the circumstances of the claim.

PRICING AND NO REFUND POLICY

All Product prices are stated in U.S. dollars. Prices are subject to change at any time without notice; however, the price charged to You will be the price displayed on the Site at the time You place Your order. Prices exclude applicable taxes, duties, and similar governmental charges. You are responsible for all such taxes and charges where required by law. All sales are final. Once an order is placed, Products are non-returnable, non-refundable, and non-cancellable, except as expressly required by applicable law.

THIRD-PARTY CONTENT

The Site may contain links to, or integrate with, third-party websites, services, payment processors, Gift Card Providers, content, products, applications, or other resources (collectively, “Third-Party Services”). Such Third-Party Services may be made available through links on the Site, embedded functionality, APIs, or other integrations, including without limitation payment services such as PayPal or Gift Card Providers used to fulfill certain Products. Third-Party Services are not owned, operated, or controlled by Mum Mum Cards. Mum Mum Cards does not endorse, monitor, or assume responsibility for the availability, accuracy, reliability, security, legality, or content of any Third-Party Services. Your interactions with Third-Party Services are solely between You and the applicable third party and are governed by that third party’s terms, conditions, and privacy policies. Mum Mum Cards shall not be responsible or liable for any loss, damage, or issues arising from or related to Your use of any Third-Party Services, including without limitation payment processing, gift card functionality, external websites, or any products or services offered by third parties. You are encouraged to review the applicable legal notices, terms, and privacy policies of any Third-Party Services before using them. All trademarks, service marks, logos, and other intellectual property appearing in connection with Third-Party Services are the property of their respective owners.

GIFT CARDS

E-Gift Cards from Third-Party Services, including without limitation Tremendous, our gift card service provider (collectively, “Gift Card Providers”), may be selected and purchased through the Site, subject to availability and any restrictions, limitations, or requirements imposed by the applicable Gift Card Provider. E-Gift Cards are fulfilled and delivered through the Site but are issued and administered by the applicable Gift Card Provider.

YOU ACKNOWLEDGE AND AGREE THAT ALL E-GIFT CARDS ARE SUBJECT TO THE TERMS, CONDITIONS, LIMITATIONS, AND POLICIES OF THE APPLICABLE GIFT CARD PROVIDER. MUM MUM CARDS ACTS SOLELY AS A FACILITATOR OF THE PURCHASE OF SUCH E-GIFT CARDS AND IS NOT RESPONSIBLE FOR (I) THE USE, REDEMPTION, OR FUNCTIONALITY OF ANY E-GIFT CARD, (II) ANY EXPIRATION OR LIMITATIONS ASSOCIATED WITH THE E-GIFT CARD, (III) BALANCE VERIFICATION, OR (IV) ANY OTHER MATTER RELATED TO THE GIFT CARD AFTER DELIVERY.

Any support, questions, or disputes relating to E-Gift Cards must be directed to the applicable Gift Card Provider. For example, inquiries related to Tremendous may be directed to help@tremendous.com. Except as required by applicable law, E-Gift Cards may not be transferred for value or redeemed for cash. Mum Mum Cards reserves the right, in its sole discretion, to cancel

or suspend orders suspected of fraud and/or delay or withhold delivery of E-Gift Cards pending verification.

INTELLECTUAL PROPERTY RIGHTS

All content and materials available on or through the Site, including without limitation text, graphics, card designs, slogans, artwork, photographs, images, e-cards, audio clips, video clips, line art, digital downloads, icons, logos, trademarks, trade dress, product designs, layouts, compilations, software, source code, object code, and all other materials and content (collectively, the “Content”), and all intellectual property rights therein, are owned by or licensed to Mum Mum Cards and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. All rights not expressly granted herein are reserved.

The trademarks, service marks, logos, trade names, product names, slogans, and other brand identifiers displayed on the Site, including without limitation MUM MUM CARDS™, LET THE BABY SPEAK™, and all related marks, are proprietary to Mum Mum Cards or its licensors. Nothing on the Site grants any license or right to use any trademark without prior written permission. All other trademarks and company names referenced on the Site are the property of their respective owners.

Any unauthorized use of the Content or intellectual property of Mum Mum Cards may result in civil and/or criminal liability. Mum Mum Cards reserves all legal and equitable remedies available for violations of these Terms, including the recovery of damages, costs, and attorneys’ fees.

Mum Mum Cards respects the intellectual property rights of others and is committed to helping third parties protect their rights. Mum Mum Cards does not claim ownership of Your User Submissions; however, by submitting User Submissions, You grant Mum Mum Cards and its affiliates a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, fully paid, royalty-free license to use, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly display or perform, transmit, and otherwise exploit the User Submissions, in whole or in part, for purposes of operating, promoting, and improving the Site and our Products. This license includes the right to host, index, cache, distribute, post, and tag User Submissions and to use the names, images, or likenesses contained therein. You acknowledge that You will not receive compensation for the use of Your User Submissions.

You retain any ownership rights You may have in Your User Submissions, subject to the license granted in these Terms. You represent and warrant that You own or have all necessary rights, permissions, and consents to submit the User Submissions and to grant the rights described above, including any rights relating to identifiable individuals appearing in the content. TERMINATION AND ACCESS RESTRICTIONS

Mum Mum Cards reserves the right, in its sole discretion, to suspend or terminate your access to the Site, including your account, and the related Products or any portion thereof at any time without notice. In the event of suspension or termination, we may, in our sole discretion, delete, suspend or modify Your account, including deleting Your User Submissions and/or transaction history, and bar Your further use of the Site. In such an event, You agree that You will not attempt to re-register with or access the Site through use of a different username or otherwise. Further, Mum Mum Cards can, in its sole discretion, and at any time, discontinue this Site or Products or any part thereof, with or without notice, and can prevent Your use of this Site with or without notice to You. You agree that You do not have any rights in this Site and that Mum Mum Cards will have no liability to You if this Site is discontinued or Your ability to access the Site, Products or any User Submissions is terminated or limited in any way. Any provision of these Terms that, by its nature, should survive termination or expiration—including, without limitation, clauses on confidentiality, intellectual-property ownership, warranty disclaimers, limitations of liability, indemnification, and dispute resolution—will remain in full force and effect after termination.

INDEMNIFICATION

You agree to indemnify Mum Mum Cards, its affiliates, officers, employees, contractors, agents and Third-Party Service providers and hold such entities and individuals harmless from any claims, losses, liabilities, damages and expenses (including reasonable attorneys’ fees) due to or related to (i) Your use of and access to the Site and Products, (ii) Your violation of these Terms, any rights of another person or entity, or any applicable laws or regulations, (iii) Your User Submissions, (iv) any disputes between You and the recipient of the Products, (v) Your use of Third-Party Services, or (vi) Your negligence or willful or reckless misconduct. We reserve the right, at Your cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will fully cooperate with us in asserting any available defense, at Your cost.

WITHOUT LIMITING THE FOREGOING, MUM MUM CARDS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, ACCURACY, OR COMPLETENESS OF THE SITE, THE PRODUCTS, OR ANY CONTENT AVAILABLE THROUGH THE SITE, INCLUDING USER SUBMISSIONS, SOFTWARE, GRAPHICS, OR OTHER MATERIALS. MUM MUM CARDS DOES NOT WARRANT THAT THE SITE OR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS.

MUM MUM CARDS DISCLAIMS ANY LIABILITY FOR ERRORS, DEFECTS, OMISSIONS, OR INACCURACIES IN THE SITE OR PRODUCTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SITE AND PRODUCTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MUM MUM CARDS, ITS AFFILIATES, THIRD-PARTY SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE OR DATA, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF USE, DATA, PROFITS, BUSINESS OR GOODWILL, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE, NON-USE OR PERFORMANCE OF THE SITE OR ANY CONTENT THEREIN OR PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF MUM MUM CARDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL MUM MUM CARDS BE LIABLE TO YOU FOR ANY DAMAGES EXCEEDING THE TOTAL AMOUNT PAID BY YOU TO MUM MUM CARDS FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Because some jurisdictions don’t allow the exclusion or limitation of certain liability damages, some of the above disclaimers and limitations may not apply to You. If You are dissatisfied with any part of the Site, the Products or with any of these Terms, Your sole and exclusive remedy is to stop using the Site and Products.

GOVERNING LAW

These Terms and any dispute arising out of or relating to the Site, the Products, or Your relationship with Mum Mum Cards shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The

parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms. You agree that any legal action or proceeding arising out of or relating to these Terms, the Site, or the Products shall be brought exclusively in the state or federal courts located in the State of Delaware. You hereby consent to the personal jurisdiction of such courts and waive any objections based on personal jurisdiction, venue, or the doctrine of forum non conveniens. You further agree that service of process may be effected by email or by any other method permitted by applicable law.

DISPUTE RESOLUTION

In the event of any dispute, claim, question or disagreement arising from or relating to the parties, the Terms or the Products, the parties shall use their best efforts to settle such dispute, claim, question or disagreement. The parties shall consult and negotiate with each other in good faith and attempt to reach a just and equitable solution satisfactory to both sides. If such solution cannot be reached within a period of 60 days, then, upon notice by either party to the other, such party may pursue legal action as specified herein. Nothing in this section shall prevent either party from seeking immediate injunctive relief or other equitable relief from courts for matters related to data privacy, intellectual property, confidentiality obligations, or unauthorized use of the Site or Products.

SITE ACCESS AND INTERNATIONAL USE

If Mum Mum Cards does not offer Products in a particular jurisdiction, nothing on the Site shall be construed as a solicitation to provide Products or conduct business in that jurisdiction. Mum Mum Cards makes no representation that the materials, content, or Products available on the Site are appropriate or available for use in all jurisdictions. The Site is controlled and operated from the United States and may be accessed from other states within the United States and from other countries. If You choose to access the Site from outside the United States, You do so on Your own initiative and at Your own risk, and You are responsible for complying with all applicable local laws.

NON-WAIVER AND SEVERABILITY

No failure or delay by Mum Mum Cards in exercising any right, power or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No waiver of any provision of these Terms shall be effective unless in writing and signed by Mum Mum Cards. Should any portion or section of these Terms be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity and enforceability of the remaining portions or sections.

ASSIGNMENT

Mum Mum Cards may assign its rights and duties under these Terms to any party at any time without notice to You, including if any assets of Mum Mum Cards might be acquired as part of a merger or acquisition, and Your personal information may be transferred to the other party. Your

rights and obligations under these Terms may not be assigned, subcontracted, delegated or otherwise transferred by You without our prior written consent.

ELECTRONIC COMMUNICATIONS CONSENT

You agree that communications between You and Mum Mum Cards may be conducted electronically. By using the Site or sending emails or other electronic communications to Mum Mum Cards, You consent to receive communications from Mum Mum Cards electronically, including via email, text message, or notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that Mum Mum Cards provides to You electronically satisfy any legal requirement that such communications be in writing or signed.
